The game was originally made and released by Fuji, but they had to give up most of the rights for the game when they wanted to release it for Nintendo's Famicom Disk System add-on, so it wasn't hard at all for Nintendo to get the game on their hands.
However it includes a feature the original surely lacked, which saving the game at any point (stage), something the old Doki Doki Panic also had since it was a disk based game, but cartridge saves wasn't common around 1988 when Super Mario Bros 2 was released in America.
But when America was about to get their SMB2 game, Nintendo of America felt that the Japanese SMB2 was too similar to the first game released, and they felt that gamers wanted something different for this 2nd installment of Super Mario Bros.

Ouch, this game wasn't planned to become Mario 2, but the original Mario 2 (Later appeared as Mario: the lost levels) was too hard for the USA, so they took an old game (Doki Doki Panic)that surely never see the daylight in the USA, and turned that one into Mario 2.

By the way, the Dreamcast NES emulator plays a mean game of Doki Doki as well as other FDS games.
RockNES is a pretty solid emulator for the Mac, I enjoyed playing Doki just because SMB2 was my favorite NES Mario game and you have to go back to your roots sometimes

The Short Answer: There are many graphical changes, some better animation in SMB2, DDP doesn't have characters "get small" (They decided this was a Mario hallmark I guess, and added it in), and DDP has a whole intro movie.
Aside from the addition of Clawgrip, all the levels are apparently the same, as is the gameplay (except in DDP, it doesn't seem like you can change characters between levels)

Sometimes I wish Doki Doki Panic never became a Mario game, but then there wouldn’t be Shy Guys in Mario games if that happened.
It didn’t seem like these enemies were going to go anywhere, but eventually they truly became part of the Mario world.
Instead of making Super Mario Bros. 2 easier, Nintendo of America took the Japanese game, Dream Factory: Doki Doki Panic and put Mario characters into it.

Nintendo took its Doki Doki Panic title, gave the game a more familiar look, and opted to release it as Super Mario Bros 2 in the USA, and completely forewent releasing the Japanese Super Mario Bros 2 anywhere outside of Japan.
At the same time, the real Japan-only Super Mario 2 resembled an expansion pack to Super Mario Bros. with the same level tiles only arranged in different layouts, and with the ability to play as Mario or Luigi.

In DDP, you need to go through the game once as EACH CHARACTER, and you can't switch to a different character halfway to finish the game.
In SMB2, you only need to go through the game once and you get the ending.
